By accessing or using E-Notarize ("Platform"), you agree to these Terms of Use ("Terms"). If you do not agree to these Terms, you must refrain from using the Platform.

1. Definitions

  1. Deponent: A user of the Platform who creates or uploads documents for notarisation.
  2. Notary Public: A licensed professional registered on the Platform to perform notarial acts in compliance with the Notaries Public Act, 2023.
  3. Platform: The E-Notarize web and mobile application facilitating digital notarisation services.
  4. Lextech: Lextech Ecosystem Limited, the owner and operator of the E-Notarize Platform.

2. Services Provided

The Platform enables deponents to:

  • Create or upload electronic documents for notarisation.
  • Schedule real-time audio-visual meetings with a registered Notary Public.
  • Pay fees for notarisation services through Lextech’s secure payment system.

The Platform enables Notaries Public to:

  • Offer remote notarial services in compliance with the Notaries Public Act, 2023.
  • Receive payments for notarisation services through Lextech.

3. Fees and Payment

  1. Deponents shall pay notarisation fees displayed on the Platform. These include statutory charges as outlined in the Notaries Public Act, 2023.
  2. Payments are processed through third-party payment gateways. By using the Platform, users agree to the terms and conditions of these third-party services.
  3. Payments are non-refundable unless notarisation cannot be completed due to technical or legal reasons, as outlined in the Refund Policy.

4. Use of Audio-Visual Technology

  1. The Platform facilitates remote notarisation using its integrated real-time audio-visual communication tools, designed to meet the requirements of the Notaries Public Act, 2023.
  2. Features provided by the Platform ensure:

    • High-quality transmission: Clear and uninterrupted audio and video communication between the deponent and the Notary Public.
    • Identity verification: Secure two-factor authentication methods, including dynamic knowledge-based assessments and government-issued identification checks, to confirm the deponent’s identity.
    • Document verification: Mechanisms to validate the integrity of documents submitted for notarisation, ensuring they match those executed during the session.
    • Session recording: Automated recording and secure storage of all notarisation sessions for regulatory compliance and dispute resolution purposes.
    • Electronic signatures and seals: Support for Notaries Public to affix their registered digital signature and seal to notarised documents.
  3. The Platform ensures that these features comply with the technical and procedural requirements stipulated by the Notaries Public Act, 2023, safeguarding the validity and reliability of the notarisation process.

5. Compliance and User Responsibilities

  1. For Deponents

    • Ensure all information provided on the Platform is accurate and truthful.
    • Use the Platform solely for lawful purposes.
    • Pay all applicable fees promptly.
  2. For Notaries Public

    • Confirm registration with the Chief Registrar for digital notarisation.
    • Use their registered digital signature and seal exclusively for notarisation activities.
    • Ensure compliance with the Notaries Public Act, 2023, and other applicable regulations.
  3. Account Termination

    Lextech reserves the right to suspend or terminate any account for:

    • Violations of these Terms.
    • Non-compliance with the Notaries Public Act, 2023.
    • Use of the Platform for fraudulent or unlawful purposes.

6. Intellectual Property

  1. All content, software, designs, trademarks, logos, and other intellectual property associated with the Platform are owned by Lextech Ecosystem Limited.
  2. Users are granted a limited, non-exclusive license to use the Platform solely for its intended purpose.
  3. Unauthorized reproduction, modification, or distribution of Platform materials is strictly prohibited and may result in legal action.

7. Disclaimer of Warranties

  1. The Platform is provided on an "as-is" and "as-available" basis without warranties of any kind, express or implied.
  2. Lextech does not guarantee the uninterrupted or error-free operation of the Platform or that all services will meet user expectations.
  3. Lextech is not responsible for errors or omissions by Notaries Public or any fraudulent activities by users.

8. Indemnity

  1. Users agree to indemnify, defend, and hold harmless Lextech, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:
    • Violations of these Terms.
    • Misuse of the Platform.
    • Non-compliance with applicable laws, including the Notaries Public Act, 2023.
    • Fraudulent or unauthorized transactions conducted through the Platform.

9. Third-Party Services

  1. The Platform integrates third-party services, such as payment gateways, to process transactions.
  2. Users acknowledge and agree to the terms and conditions of these third-party providers.
  3. Lextech is not responsible for the performance, availability, or security of third-party services.

10. Force Majeure

  1. Lextech shall not be held liable for any failure or delay in performing its obligations under these Terms due to events beyond its reasonable control, including but not limited to:

    • Acts of God (e.g., natural disasters, floods, earthquakes).
    • Interruptions in internet or telecommunication services.
    • Power outages.
    • Acts of government or regulatory bodies.
    • War, riots, or civil unrest.
    • Epidemics, pandemics, or other public health emergencies.
  2. In the event of a force majeure occurrence, Lextech will make reasonable efforts to notify affected users and resume operations as soon as practicable.

11. Dispute Resolution

  1. Internal Resolution: Users are encouraged to resolve disputes amicably by contacting Lextech’s customer support at support@lextechgroup.com
  2. Mediation: If a dispute cannot be resolved internally, the parties agree to submit the dispute to mediation under the rules of any institutionalized mediation centre attached to any court of competent jurisdiction with special consideration as to a convenient venue for the parties involved.

12. Entire Agreement

  1. These Terms, along with any additional agreements or policies referenced herein, constitute the entire agreement between you and Lextech regarding the use of the Platform.
  2. They supersede and replace any prior agreements, communications, or understandings, whether written or oral, relating to the subject matter of these Terms.

13. Data Protection and Privacy

  1. Lextech processes personal data in compliance with the Nigeria Data Protection Act, 2023 and other applicable laws.
  2. By using the Platform, users consent to the recording and storage of audio-visual sessions for regulatory purposes.
  3. Refer to the Privacy Policy for details on data handling practices.

14. Modifications to the Terms

Lextech reserves the right to amend these Terms at any time. Significant changes will be communicated to users via the Platform or email. Continued use of the Platform after changes constitutes acceptance of the amended Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
